For the foreign citizen who establishes a company but does not stay in the Moldovan territory longer than 90 days in the previous 180 days, there are no impediments or requirements to establish a company, except for some types related to particular sectors (such as the medical field).<\/p>


If the founder wishes to stay longer than 90 days (even non-continuous) in the previous 180 days, he must obtain a residence permit. In this case he must produce from his state of origin a General Criminal Record with Apostille.<\/p>

Corporate taxation in Moldova offers several advantages to business owners. First of all, the country has a low corporate tax rate, the lowest possible (12%) in order for the country to remain ‘non-privileged tax status’ (i.e. white-listed according to the old wording), which translates into immediate tax savings and a countless number of advantages in dealing with the tax authorities of the state of taxation (e.g. the principle of ‘presumption of innocence’ applies in the event of an assessment or litigation with the tax authorities). It should also be emphasized that the distribution of company dividends is taxed at only 6%.<\/p>


Secondly, non-membership of the CRS (Common Reporting Standard) is compensated for by the Moldovan state’s cooperative<\/strong> attitude towards countries requesting tax data on their citizens operating in Moldova, and this cooperation also prevents it from belonging to the category of black-listed states, (or according to the new wording, privileged tax status), with the consequences we know.<\/p>

Several legal forms are envisaged: Individual companies, SA (joint stock company), SRL (limited liability company), Snc (general partnership), SC (limited partnership) A.O. (non-profit associations and organizations) and others.<\/p>


A foreigner may participate in the establishment of a company in any proportion, with no minimum or maximum limit on share capital (except for an SA where the minimum share capital is 6,000 lei, approximately EUR 30,000).<\/p>


The opening of a company current account in local currency, authorized by the state tax office, is required (on average within two working days).<\/p>


When registering the company (with the Public Services Agency), the registered office and the appointment of at least one director as legal representative are declared and indicated in the articles of association.<\/p>
